委托付款三方协议

Entrusted Payment Tripartite Agreement



甲方PARTY A：****公司 乙方 PARTY B：****公司 丙方 PARTY C：****公司

现甲乙丙三方经友好协商，就丙方代为支付乙方所欠甲方款项的相关事宜，达成如下付款协议：

After friendly negotiation, the three parties, Party A, Party B and Party C, have reached the following payment agreement regarding Party C's payment of the amount owed to Party A by Party B:

一、丙方代替乙方支付***订单的款项，丙方同意在2021年6月18日前向甲方支付共计***美元 （大写：美元***元整）。付款方式为对公转账，甲方美金账号: ****. 银行信息：****

1. Party C shall pay the money on behalf of Party B. Party C agrees to pay Party A a total of USD**** (SAY US DOLLARS **** ONLY) before June 18, 2021. Payment method is public to public transfer, Party A’s U.S. dollar account number: ****. Bank Information: ****.

二、丙方向甲方支付本协议第一条所述的款项后，即视为乙方对甲方履行完毕相应金额（具体金额以甲方实际收到的丙方代为支付的款项为准）的付款义务。

2. After Party C pays Party A the amount mentioned in Article 1 of this agreement, it shall be deemed that Party B has completed the payment obligation of the corresponding amount to Party A (the specific amount is subject to the payment actually received by Party A from Party C).

三、因丙方代为付款而导致乙丙双方可能发生的债权债务关系及发票关系，由乙丙双方另行约定，甲方无须向丙方偿还本协议第一条所述的款项，亦无须向丙方开具任何形式的发票。

3. The possible creditor-debt relationship and invoice relationship between Party B and C due to Party C’s payment on behalf of both parties shall be separately agreed between Party B and C. Party A does not need to repay Party C the amount mentioned in Article 1 of this agreement, nor does it need to issue any form of invoice to Party C.

四、本协议仅就代付款事项进行确认，不免除乙方对仍未支付货款的付款责任，不免除乙方就全部到期货款本金（包括由丙方代为支付的金额）应承担的延期付款违约金等责任，乙方仍对全部到期且未支付的货款及因延期支付产生的违约金承担付款责任。

4. This agreement only confirms the issue of entrusted payment. Party B shall not be exempted from the payment responsibility for the unpaid goods, and Party B shall not be exempted from the responsibility of the delayed payment penalty for all the principal of the futures payment


(including the amount paid on behalf of Party C). The payment for the goods and the liquidated damages arising from the delay in payment shall be liable by Party B.

五、 因本协议产生的争议, 各方应协商解决, 协商不成, 各方均同意提交至甲方所在地人民法院裁决。

5. Disputes arising from this agreement shall be resolved by the parties through consultation. If the consultation fails, all parties agree to submit it to the people's court where Party A is located for a ruling.

六、 本协议一式3份, 甲乙丙方各持一份, 自三方盖章之日起生效。

6. This agreement is made in 3 copies, each of which is held by Party A, Party B and Party C, which will be effective from the date of stamping by the three parties.
